INSTRUCTIONS, TERMS AND CONDITIONS

These instructions, terms and conditions are hereby made a part of this purchase order. No exceptions will be allowed unless agreed upon in writing before hand.  Written acceptance of this order by Supplier is requested and may be given by signing and returning to owner the Acknowledgment Copy. As used herein, the word supplier means the recipient of this order and the manufacturer of the goods purchased and the word Owner means OILFILEDS SUPPLY CENTER LTD.  who will become the Owner of the goods purchased.  

1. No allowance will be made for packing, crating or other charges unless specifically authorized in this order.

2. No changes, substitutions or modifications of this order will be binding unless agreed upon by both Owner and Supplier and confirmed by the issuance of a Revised Order. 

3. All materials covered by this order shall be plainly labeled, marked and shipped as specified on the order.  

4. Owner’s order number shall be shown on all invoices, packing lists, containers and bills of lading. 

5. Separate invoices, packing lists and bills of lading are required covering the contents of each shipment, showing number of packages.   Multiple Purchase Orders should not be included in a single invoice. 

6. Deliveries will be accepted only during normal working hours; unless otherwise agreed upon. 

7. This order shall inure to the benefit of and be binding upon the successors and assigns of the parties hereto.  

8. Supplier shall not assign its rights or obligations or any sums that may accrue to it or be due it hereunder, or sub-contract any of the work provided for herein, without the written consent of the owner.

9. Supplier warrants all items covered by this order to be of the best quality, new and unused, as specified, delivered free of any security interest or other lien or encumbrance, of merchantable quality and fit for the purpose and uses intended.  

10. Supplier warrants all items covered by this order against fault in design, defective or improper materials, poor workmanship (including but no limited to defective welding), and failure from normal usage for one year after being placed in service or twenty four months after shipment, whichever date is earlier.  All warranties, expressed or implied, shall inure to the benefit of and be enforceable by Owner.  

11. Supplier agrees to protect and to hold Owner harmless against any and all loss, expense, liability, and claims of liability arising by reason of the manufacture, sale or use of any machinery, apparatus, equipment, materials or supplies purchased hereunder being or being claimed to be an infringement of patents rights held by others.  

12. Representatives of Owner reserve the right to inspect and to inquire, by any reasonable means, at any location, at any stage of fabrication, at all reasonable hours, in order to determine the status and acceptability of procurement, assembly and fabrication of material covered by this order, and of component parts and supplies therefore such inquiries shall be promptly and fully answered to the satisfaction of Owner.  

13. In the event material covered by this order is subject to initial inspection before shipment, Supplier shall notify Owner at least 15 days in advance of the date upon which such inspection may be made.  If Owner is duly notified, such inspection will be made within the dates established by Supplier, or, if none is made , initial inspection before shipment will be deemed to have been waived. No delay in manufacturing or shipment shall be permitted because of a delay in initial inspection.  

All material furnished must be as specified and will be subject to final inspection and approval of Owner after arrival at destination.  The right reserved to reject such portion of any shipment which maybe defective or fail to comply with specifications, without invalidating the remainder of the order. If rejected it will be held for disposition at the expense and risk of Supplier.  

No failure to inspect, nor waiver of inspection, nor inspection, shall relieve Supplier of its warranties or its guarantees.  

14. Shipment within the scheduled time herein is an important consideration of this order. On acceptance of the order Supplier has furnished shipping schedules to Owner and represents that such schedules are realistically within its ability to perform.  

Promptly, confirm shipping schedule on all items covered by this order.  Inform Owner of any changes in such schedules as soon as such information is available.  The right is reserved by Owner to cancel all or any part of this order, without charge, if not shipped as specified on the order, or as subsequently agreed in writing.  

15. Supplier agrees to indemnify and save Owner harmless from and against any and all claims, demands, liabilities, suits or actions, including but not limited to all reasonable expenses and attorney’s fees, for injuries to or death of any person or persons, including the employees of each party hereto and for loss of or damage to property of any person or persons, including the property of each party hereto recovered under law from Owner and resulting from or arising out of the performance of this purchase order, and Supplier agrees to reimburse Owner for all sums which either may pay or incur or be compelled to pay and incur in settlement of any claim on account thereof, including any claim under the provisions of any workmen’s compensation law or any other law, rule or regulation applicable hereto. 

16. Supplier shall comply fully with all laws, provisions, regulations, orders, rules and other requirements of all governmental bodies, agencies, boards and commissions having or claiming to have authority applicable to the materials, equipment services and performance of work covered by this order, and aggress to hold Owner harmless from liability or penalty of which maybe imposed or asserted by reason of Supplier’s failure or alleged failure to observe and abide thereby. 

17. The speed limit within OSC facility is 30 kph and shall be strictly adhered to. Overtaking is not permitted due to heavy vehicle operations.
18. Helmets, safety shoes and other necessary personal protective equipment shall be worn at all times in designated areas.
19. Smoking is not permitted in all OSC offices, workshops, warehouses, wharf/ jetty and in other designated areas.
20. Material Safety Data Sheets (MSDS) shall be provided for all chemicals.
21. Any accidents/ incidents/ damages shall be immediately reported to Security Department on Emergency No. 04 – 8054200.
